This GoodWe Solar Community User Agreement (“Terms”) applies to your access to and use of the websites, provided by GoodWe Technologies Co., Ltd. (“GoodWe Community,” “we,” “us,”  “GoodWe,” “GoodWe Solar Community,” or “our”). Please review the following terms and conditions for the use of the websites and the services provided through any of the websites (such services, the "Services" And such terms and conditions, the "Terms of service" Or "Terms"). By using any website, service, product (as defined below), or application programming interface ("Api"), you agree to be bound by these terms or you represent that you have the authority to bind the person (including any residential, enterprise or other owner of GoodWe products) you name as a user of any of the websites or services ("You"). If you do not have such authority or you do not agree with these terms, please do not use any website, service or product (including Webinar,GoodWe Plus or Api).

By accessing or placing an order with GoodWe Solar Community, you confirm that you are in agreement with and bound by the terms of service contained in the Terms & Conditions outlined below. These terms apply to the entire website and any email or other type of communication between you and GoodWe Solar Community.

Additional Terms

Your conduct on the Websites is governed by GoodWe’s Privacy Policy and the API License Agreement, both of which are part of these Terms and are incorporated in these Terms by this reference.

 

To access and use certain Services, you may be required to agree to certain additional terms and conditions. For example, the GoodWe Plus requires agreement to the additional terms applicable to the use of the GoodWe Plus and those terms will become a part of these Terms on the date you register for the GoodWe Plus Members.

 

Capitalized terms used in these Terms but not defined in these Terms have the meanings given to them in the Privacy Policy or other additional terms.

 

GoodWe Account and Account Security

To use certain features of our Services, you may be required to create a GoodWe Solar Community/SEMS account (an “Account”) and provide us with a username, password, and certain other information about yourself. Additional GoodWe Solar Community terms or requirements for certain functions or services may apply. In case of any conflict between such additional terms and the TOU (“Terms of Use”) , the additional terms shall prevail for the aforementioned certain functions or services.

 

You shall not impersonate another person or entity, or forge your identity to access this Website. If any portion of the Website requires you to create an account or set up a user profile, the information you provide must be truthful and accurate. You agree to keep your account information secure and confidential and to never allow another person or entity to access your account or profile using your username or password at any time, otherwise, you may be held liable for the losses incurred by GoodWe Solar Community or any other users or visitors to this Website.

 

GoodWe Solar Community reserves the right, at its sole discretion, to reject，move or delete your post, restrict, suspend, or terminate your access to the Website, and may retain or delete your information or content.

 

You are solely responsible for the information associated with your Account and anything that happens related to your Account. You must maintain the security of your Account and immediately notify GoodWe Solar Community if you discover or suspect that someone has accessed your account without your permission.

 

You will not license, sell, or transfer your Account without our prior written approval.

 

Restrictions

We try to make the GoodWe Solar Community broadly available to everyone, but you cannot use The GoodWe Solar Community if:

l   You are under 13 years old (or the minimum legal age in your country to enter into a contract, whichever is higher).

l   We've previously disabled your account for violations of the GoodWe Policy.

l   You are prohibited from receiving our products, services, or software under applicable laws.

 

 

When using or accessing GoodWe Solar Community, you must comply with these Terms and all applicable laws, rules, and regulations. You may not do any of the following:

l   Posting illegal content or soliciting or facilitating illegal or prohibited transactions.

l   Revealing someone’s personal or confidential information is not allowed.

l   License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the website or make the platform available to any third party.

l   Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the website.

l   Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of GoodWe Solar Community or its affiliates, partners, suppliers, or the licensors of the website.

l   Use the Services in any manner that could interfere with, disable, disrupt, overburden, or otherwise impair the Services.

l   Gain access to (or attempt to gain access to) another user’s Account or any non-public portions of the Services, including the computer systems or networks connected to or used together with the Services.

l   Upload, transmit or distribute to or through the Services any viruses, worms, malicious code, or other software intended to interfere with the Services, including its security-related features.

l   Use the Services to violate applicable law or infringe any person’s or entity's intellectual property rights or any other proprietary rights.

l   Use the Services in any manner that we reasonably believe to be an abuse of or fraud on GoodWe Solar Community or any payment system.

l   Access or collect data from our Websites using automated means (without our prior permission) or attempt to access data you do not have permission to access.

 

When using this Website and its service, you agree to comply with applicable laws and obey social ethics. You shall not use this Website and its content to produce, read, copy, or disseminate any illegal information, to infringe on any other person's rights, or to disturb the social order and undermine social stability. We can remove or restrict access to content that is in violation of these provisions. If we remove content that you have shared in violation of our Community Terms, we’ll let you know and explain any options you have to request another review, unless you seriously or repeatedly violate these Community Terms or if doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or Websites ; where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons. To help support our community, we encourage you to report content or conduct that you believe violates your rights (including intellectual property rights) or our terms and policies.

 

You shall not use this Website and its content to engage in any activity that endangers cybersecurity and any computer system.We encourage you to report content or conduct that you believe violates these Terms or our Privacy policy. Paid Services and Refund Policy

There are no fees for the use of many aspects of the Services. However, some services, including GoodWe Solar Community Trainings may be available for purchase (“Paid Services”).

 

GoodWe Solar Community may change the fees, points,empirical value,or benefits associated with the Services from time to time with reasonable advance notice of material changes; provided, however, that no advance notice will be required for temporary promotions, including temporary reductions in the fees associated with the Paid Services.

You may submit your debit card, credit card, or other payment information (“Payment Information”) via our Services to purchase the Paid Services. We use third-party service providers to process your Payment Information. If you submit your Payment Information, you agree to pay all costs that you incur, and you permit us to charge you when payment is due for an amount that includes these costs and any applicable taxes and fees.

If, for any reason, You are not completely satisfied with any good or service that we provide, don't hesitate to contact us and we will discuss any of the issues you are going through with our service.

 

Your Content

The Services may contain information, text, links, graphics, photos, videos, or other materials (“Content”), including Content, created or submitted to the Services by you or through your Account (“Your Content”). We take no responsibility for and we do not expressly or implicitly endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any of Your Content.

 

By submitting Your Content to the Services, you represent and warrant that you have all rights, power, and authority necessary to grant the rights to Your Content contained within these Terms. Because you alone are responsible for Your Content, you may expose yourself to liability if you post or share Content without all necessary rights.

You retain any ownership rights you have in Your Content, but you grant GoodWe Solar Community the following license to use that Content:

You agree that your access and all related activities on or through this Website shall be governed by, construed, and interpreted in accordance with the laws of the People's Republic of China. You agree that any dispute between the parties arising out of or in connection with this TOU or your access and all related activities on or through this Website shall be governed by a court with jurisdiction in Suzhou, Jiangsu Province of the People's Republic of China.

 

When Your Content is created with or submitted to the Services, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, prepare derivative works of, distribute, store, perform, and display Your Content and any name, username, voice, or likeness provided in connection with Your Content in all media formats and channels now known or later developed anywhere in the world. This license includes the right for us to make Your Content available for syndication, broadcast, distribution, or publication by other companies, organizations, or individuals who partner with GoodWe Solar Community. You also agree that we may remove metadata associated with Your Content, and you irrevocably waive any claims and assertions of moral rights or attribution with respect to Your Content.

Any ideas, suggestions, and feedback about GoodWe Solar Community or our Services that you provide to us are entirely voluntary, and you agree that GoodWe Solar Community may use such ideas, suggestions, and feedback without compensation or obligation to you.

 

Although we have no obligation to screen, edit, or monitor Your Content, we may, in our sole discretion, delete or remove Your Content at any time and for any reason, including for violating these Terms, violating our Content Policy, or if you otherwise create or are likely to create liability for us.

 

Product Availability

The availability of the products and services described on this Website, and the descriptions of such products and services, may vary in your country or region and include products and services not launched in your country or region. Please consult your local GoodWe Solar Community representative or agent for specific products and/or services information.

The Services may contain links to third-party websites, products, or services, which may be posted by advertisers, our affiliates, our partners, or other users (“Third-Party Content”). We are not responsible for the content, accuracy, or opinions expressed in such websites, and such websites are not investigated, monitored, or checked for accuracy, or completeness by us. Please remember that when you use a link to go from the Services to another website, our Terms & Conditions are no longer in effect. Your browsing and interaction on any other website, including those that have a link on our platform, is subject to that website’s own rules and policies. Copyright Infringement Notice

GoodWe Solar Community respects the intellectual property of others and requires that users of our Services do the same. We have a policy that includes the removal of any infringing material from the Services and for the termination, in appropriate circumstances, of users of our Services who are repeat infringers.

If we remove Your Content in response to a copyright or trademark notice, we will notify you via GoodWe Solar Community’s private messaging system. If you believe Your Content was wrongly removed due to a mistake or misidentification in a copyright notice, you can send a counter-notification to community@goodwe.com

 

Limits on using our intellectual property

 

If you use content covered by intellectual property rights that we have and make available on our Websites (for example, images, designs, videos, or sounds we provide that you add to content you create or share on the GoodWe Solar Community), we retain all rights to that content (but not yours). Term and Termination

You may terminate these Terms at any time and for any reason by deleting your Account and discontinuing use of all Services. If you stop using the Services without deactivating your Account, your Account may be deactivated due to prolonged inactivity.

We may suspend or terminate your Account, moderator status, or ability to access or use the Services at any time for any or no reason, including for violating these Terms or our Content Policy.

 

This Agreement shall remain in effect until terminated by you or GoodWe Solar Community.GoodWe Solar Community may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.This Agreement will terminate immediately, without prior notice from GoodWe Solar Community, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the website and all copies thereof from your computer.Upon termination of this Agreement, you shall cease all use of the website and delete all copies of the website from your computer.

 

Termination of this Agreement will not limit any of GoodWe Solar Community's rights or remedies at law or in equity in case of breach by you (during the term of this Agreement) of any of your obligations under the present Agreement.

 

Limitation of Liability

Notwithstanding any damages that you might incur, the entire liability of GoodWe Solar Community and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount paid by you for the website.

 

To the maximum extent permitted by applicable law, in no event shall GoodWe Solar Community or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for loss of data or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the website, third-party software and/or third-party hardware used with the website, or otherwise in connection with any provision of this Agreement), even if GoodWe Solar Community or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

 

Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

 

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

This Agreement, together with the Privacy Policy and any other legal notices published by GoodWe Solar Community on the Services, shall constitute the entire agreement between you and GoodWe Solar Community concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and GoodWe Solar Community's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. You and GoodWe Solar Community agree that any cause of action arising out of or related to the services must commence within one year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

 

Intellectual Property

The website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof), are owned by GoodWe Solar Community, its licensors or other providers of such material and are protected by China and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded, or distributed in any way, in whole or in part, without the express prior written permission of GoodWe Solar Community, unless and except as is expressly provided in these Terms & Conditions. Any unauthorized use of the material is prohibited.

 

Submissions and Privacy

In the event that you submit or post any ideas, creative suggestions, designs, photographs, information, advertisements, data, or proposals, including ideas for new or improved products, services, features, technologies, or promotions, you expressly agree that such submissions will automatically be treated as non-confidential and non-proprietary and will become the sole property of GoodWe Solar Community without any compensation or credit to you whatsoever. GoodWe Solar Community and its affiliates shall have no obligations with respect to such submissions or posts and may use the ideas contained in such submissions or posts for any purposes in any medium in perpetuity, including, but not limited to, developing, manufacturing, and marketing products and services using such ideas.

 

Typographical Errors

In the event a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for the product and/or service listed at the incorrect price. We shall have the right to refuse or cancel any such order whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account or other payment accounts in the amount of the charge.

The GoodWe Solar Community Service and its contents are provided "as is" and "as available" without any warranty or representations of any kind, whether express or implied. GoodWe Solar Community exercises no editorial control over upload content and makes no warranty or representation as to the accuracy, reliability, or currency of any information, content, service or merchandise provided through or accessible via the GoodWe Solar Community Service. Without limiting the foregoing, GoodWe Solar Community specifically disclaims all warranties and representations in any content transmitted on or in connection with the GoodWe Solar Community Service or on sites that may appear as links on the GoodWe Solar Community Service, or in the products provided as a part of, or otherwise in connection with, the GoodWe Solar Community Service, including without limitation any warranties of merchantability, fitness for a particular purpose or non-infringement of third party rights. No oral advice or written information given by GoodWe Solar Community or any of its affiliates, employees, officers, directors, agents, or the like will create a warranty.
